1. Acceptance of Terms

By accessing and using Billing Rasoi ("Platform"), including our website (billingrasoi.in) and software application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a binding agreement between you and Billing Rasoi ("Company", "we", "us", or "our"). Your use of the Platform indicates your acceptance of these Terms in their entirety.

2. Use License & Restrictions

We grant you a limited, non-exclusive, revocable license to use the Platform for lawful restaurant management purposes. You agree not to:

• Reproduce, duplicate, copy, or resell any portion of the Platform
• Use the Platform for any unlawful or prohibited purpose
• Attempt to gain unauthorized access to the Platform or its systems
• Reverse engineer, decompile, or disassemble our software
• Transmit viruses, malware, or any code of destructive nature
• Use automated tools to scrape or collect data without authorization
• Harass, threaten, or intimidate other users
• Violate any applicable laws, regulations, or intellectual property rights

3. Account Registration & Responsibility

To access Billing Rasoi, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials and password
• All activities conducted under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring you are authorized to represent your restaurant or business

We reserve the right to suspend or terminate your account if we discover fraudulent activity or violation of these Terms.

4. Subscription Plans & Billing

4.1 Pricing & Payment

• All subscription plans are billed in Indian Rupees (₹)
• Prices are subject to change with 30 days' written notice
• Billing occurs on the date your subscription is activated and annually thereafter
• All payments are non-refundable except where required by law

4.2 Free Trial

• New users receive a 14-day free trial with full platform access
• Trial access will be converted to a paid subscription unless canceled before expiration
• Your payment method will be charged automatically after the trial period

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel. You can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing cycle.

4.4 Late Payments

If payment fails, we will attempt to collect payment up to 3 times. If payment remains unpaid after 30 days, your account access will be suspended until payment is received.

5. Your Data & Content

5.1 Data Ownership

You retain all rights to your restaurant data, including menu items, pricing, customer information, and transaction records. We do not own or claim ownership of your data.

5.2 License to Us

By using our Platform, you grant us a worldwide, non-exclusive license to use your data for:

• Providing and improving our services
• Analytics and usage reporting
• Technical support and troubleshooting
• Legal and compliance purposes

5.3 User Responsibilities

You are solely responsible for the accuracy and legality of data you upload, including:

• Menu items, pricing, and product descriptions
• Customer information compliance with data protection laws
• GST registration numbers and tax information
• Payment method information

6. Intellectual Property Rights

All content on the Platform, including software, design, text, graphics, and features ("Intellectual Property"), is owned by Billing Rasoi or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, or transmit any Intellectual Property without our prior written consent. Unauthorized use of our branding, logos, or copyrighted material is strictly prohibited.

7. Third-Party Integrations

Billing Rasoi integrates with third-party platforms like Zomato, Swiggy, Razorpay, and others. We are not responsible for:

• Third-party service outages or disruptions
• Third-party data handling and privacy practices
• Changes to third-party APIs or services
• Data loss due to third-party platform errors

We recommend reviewing the terms and privacy policies of all integrated platforms. By connecting third-party services, you authorize data sharing according to each platform's requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLING RASOI IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL BILLING RASOI BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Lost revenue, lost profits, or lost business opportunities
• Data loss or corruption
• Service interruptions or unavailability

Our total liability for any claim arising from your use of the Platform shall not exceed the total fees you paid in the 12 months preceding the claim.

9. Service Availability & Uptime

While we maintain a 99.9% uptime guarantee, we do not warrant uninterrupted or error-free service. We reserve the right to:

• Perform scheduled maintenance (with 24-hour notice when possible)
• Modify, suspend, or discontinue features with 30 days' notice
• Suspend service for non-payment or violation of these Terms

During scheduled maintenance, the Platform may be unavailable. Critical issues will be addressed within 2 hours of discovery.

10. Compliance with Laws

You agree to comply with all applicable Indian laws, including but not limited to:

• GST (Goods and Services Tax) regulations and filing requirements
• Income Tax Act, 1961 and accounting standards
• Food Safety and Standards Authority of India (FSSAI) requirements
• Data Protection Act and privacy regulations
• Indian Penal Code and all other applicable laws

Billing Rasoi is not responsible for your legal compliance. You are responsible for maintaining all required licenses, permits, and regulatory filings.

11. Termination

We may terminate or suspend your account immediately and without notice if:

• You violate any provision of these Terms
• We detect fraudulent or illegal activity
• Payment is declined or overdue beyond 30 days
• Your use of the Platform violates laws or harms others

Upon termination, your account access will be revoked. Data retention after termination will follow our Privacy Policy.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall take place in India, and the proceedings shall be in English.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification with at least 30 days' notice. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
